1. Introduction and Acceptance of Terms
Welcome to CitySquad, an application and service operated by CitySquad ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the CitySquad mobile application, website located at https://citysquad.app/, and any related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. This is a legally binding agreement. If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service constitutes your acceptance of any changes to these Terms, which we may update from time to time.
CitySquad is a hyperlocal sports and activity session-coordination network. It helps users discover, host, and join real-world sports and activity sessions (such as cricket, football, badminton, and similar activities) at venues and times chosen by users, and to coordinate through in-app features such as chat. CitySquad is not a booking platform: it does not book or reserve venues on your behalf, and it does not process or handle any payment made to a venue. Any payment for the use of a venue is made directly between you and that venue.
2. Account Registration and Security
2.1. Account Creation
To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete.
2.2. Account Responsibilities
You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify CitySquad immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to comply with this section.
Think of your account as your personal space on CitySquad. Keep it secure. Don't share your password. If something looks wrong, tell us right away.
2.3. Eligibility
You must be at least 18 years old to create an account and use the Service. By creating an account, you represent and warrant that you are 18 years of age or older.
You may hold only one account. Creating or using more than one account, or creating an account on behalf of another person without authorization, is prohibited and may result in suspension or termination.
3. User-Generated Content
3.1. Your Content
The Service allows you to create, post, upload, share, or otherwise make available content, including session listings, messages, comments, photos, and other materials ("User Content"). You retain all ownership rights in your User Content. We don't claim ownership over any of your User Content.
3.2. License to CitySquad
By submitting User Content to the Service, you grant CitySquad a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service and CitySquad's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels. This license is necessary for us to operate and improve the Service, for example, by displaying your session listings or messages to other users within the app.
3.3. User Content Representations and Warranties
You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that: (a) you are the creator and owner of the User Content or have the necessary licenses, rights, consents, and permissions to authorize CitySquad and users of the Service to use and distribute your User Content as necessary to exercise the licenses granted by you in this section, in the manner contemplated by CitySquad and these Terms; and (b) your User Content, and the use of your User Content as contemplated by these Terms, does not and will not infringe, misappropriate, or violate a third party's patent, copyright, trademark, trade secret, moral rights, or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.
3.4. Prohibited Content
You agree not to post User Content that: (a) is defamatory, libelous, or invasive of privacy; (b) is obscene, pornographic, or offensive; (c) promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group; (d) is violent or threatening or promotes violence or actions that are threatening to any person or entity; (e) promotes illegal activities; (f) contains viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment; or (g) violates any applicable law or regulation.
We don't want any of that on CitySquad. If you post something like that, we'll take it down, and we might suspend or terminate your account. We have the right, but not the obligation, to monitor, edit, or remove User Content at our sole discretion.
4. Payments, Subscriptions, and Recurring Billing
4.1. General Payment Terms
Certain optional features of the Service, including a paid subscription, may require payment. Payments for these optional features are processed through a third-party payment processor, such as Razorpay. By making a purchase through the Service, you agree to abide by the terms and conditions of that payment processor. CitySquad does not store your full payment card details.
CitySquad processes payments only for its own optional features, such as paid subscriptions. CitySquad does not process or handle payments for venue use or bookings. Any payment for a venue is made directly between you and the relevant venue, and CitySquad is not a party to, and is not responsible for, those payments.
You agree to pay all fees and applicable taxes associated with your account on a timely basis. All prices are in the currency specified at the point of purchase. Prices are subject to change, but changes will not affect active subscriptions until renewal.
4.2. Subscription Plans and Recurring Billing
CitySquad may offer various subscription plans. When you purchase a subscription, you agree to recurring billing. This means your subscription will automatically renew at the end of each billing period (e.g., monthly or annually) unless you cancel it. Your payment method will be charged automatically on the renewal date.
We'll notify you before your subscription renews, typically via email, so you have time to make a decision. This helps ensure uninterrupted access to the premium features you enjoy.
4.3. Cancellation and Refunds
You may cancel your subscription at any time through your account settings within the CitySquad app or website. Cancellation will take effect at the end of your current billing period. You will continue to have access to the subscription features until that time.
Generally, payments for subscriptions are non-refundable. We do not provide refunds or credits for any partial subscription periods or unused features. However, we may offer refunds in exceptional circumstances and at our sole discretion. For example, if there's a technical issue on our end that prevents you from using the Service, we might consider a refund. But here is the thing: simply changing your mind usually won't qualify.
4.4. Free Trials
If you sign up for a free trial, you may be required to provide your payment information. At the end of the free trial period, your subscription will automatically convert to a paid subscription, and your payment method will be charged, unless you cancel before the trial period ends. We'll make sure to tell you the exact terms of any free trial when you sign up.
5. Assumption of Risk and In-Person Activities
5.1. Physical Activity and Inherent Risks
The Service helps you arrange and take part in real-world sports and physical activities. Such activities carry inherent risks, including the risk of physical injury, illness, property damage, or, in rare cases, death. You acknowledge and accept these risks, and you participate in any session or activity voluntarily and entirely at your own risk.
5.2. Interactions with Other Users
CitySquad does not vet, verify, or conduct background checks on users, hosts, or venues, and does not control the conduct of users or the condition or safety of any venue. You are solely responsible for your interactions with other users and for taking reasonable precautions when meeting or playing with people you meet through the Service. CitySquad is not responsible for the actions, conduct, or omissions of any user, host, or venue.
5.3. No Responsibility for Sessions or Venues
Sessions are created and managed by users, not by CitySquad. CitySquad does not organize, supervise, or guarantee any session, and is not responsible for what occurs before, during, or after any session, including at any venue.
5.4. Health and Fitness
You should ensure that you are physically fit to participate in any activity and consult a medical professional if you are unsure. You assume full responsibility for your own health and safety while using the Service and participating in any activity.
6. Intellectual Property Rights
6.1. CitySquad's Intellectual Property
The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by CitySquad, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as generally permitted by the Service's functionality.
This means you can use the app as intended, but you can't copy our code, our logo, or our unique features without permission. That's our property.
6.2. Trademarks
The CitySquad name, the CitySquad logo, and all related names, logos, product and service names, designs, and slogans are trademarks of CitySquad or its affiliates or licensors. You must not use such marks without the prior written permission of CitySquad.
7. Prohibited Conduct
You agree not to engage in any of the following prohibited activities:
- Using the Service for any illegal purpose or in violation of any local, state, national, or international law.
- Violating, or encouraging others to violate, any right of a third party, including by infringing or misappropriating any third-party intellectual property right.
- Interfering with security-related features of the Service, including by (a) disabling or circumventing features that prevent or limit use or copying of any content; or (b) reverse engineering or otherwise attempting to discover the source code of any portion of the Service except to the extent that the activity is expressly permitted by applicable law.
- Interfering with the operation of the Service or any user's enjoyment of the Service, including by (a) uploading or otherwise disseminating any virus, adware, spyware, worm, or other malicious code; (b) making unsolicited offers or advertisements to other users of the Service; (c) attempting to collect personal information about other users or third parties without their consent; or (d) interfering with or disrupting any network, equipment, or server connected to or used to provide the Service.
- Performing any fraudulent activity including impersonating any person or entity, claiming false affiliations, accessing the Service accounts of others without permission, or falsifying your age or date of birth.
- Selling or otherwise transferring the access granted under these Terms or any User Content or any right or ability to view, access, or use any User Content.
- Using the Service for any commercial purpose without our express written consent.
Basically, don't break the law, don't mess with our app, and don't be a jerk to other users. It's pretty straightforward.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, CITYSQUAD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CITYSQUAD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
WE DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SERVICE IN TERMS OF CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION. AND THAT MATTERS BECAUSE while we strive to provide a great service, we can't guarantee it will always be perfect or available 24/7. Technology has its quirks.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CITYSQUAD, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.
UNDER NO CIRCUMSTANCES WILL CITYSQUAD BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CITYSQUAD ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (A) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (B) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF OUR SERVICE OR FROM YOUR PARTICIPATION IN ANY SESSION OR ACTIVITY; (C) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN; (D) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (E) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE BY ANY THIRD PARTY; (F) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICE; AND/OR (G) USER CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY.
IN NO EVENT SHALL CITYSQUAD'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF FIVE THOUSAND INDIAN RUPEES (₹5,000) OR THE AMOUNT YOU PAID CITYSQUAD, IF ANY, IN THE PAST TWELVE MONTHS FOR THE SERVICE GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.
10. Indemnification
You agree to defend, indemnify, and hold harmless CitySquad and its affiliates, and their respective officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your User Content caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Service.
This means if your actions on CitySquad cause us legal trouble, you're on the hook to cover our costs. It's about protecting us from the consequences of your misuse of the platform.
11. Termination
11.1. By You
You may terminate your account at any time by contacting us at support@citysquad.app. Upon termination, your right to use the Service will immediately cease. Any fees paid are non-refundable, as outlined in Section 4.3.
11.2. By CitySquad
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. For example, if you post prohibited content or fail to make payments, we might terminate your account. Upon termination, your right to use the Service will immediately cease.
11.3. Effect of Termination
Upon termination of these Terms, any provisions that by their nature should survive termination will remain in full force and effect, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to these Terms, or their breach, termination, or invalidity, shall first be settled by good faith negotiation between the parties. If a resolution cannot be reached, the parties agree to attempt mediation with a mutually agreed-upon mediator. If mediation is unsuccessful, the dispute shall be subject to the exclusive jurisdiction of the courts at Vadodara, Gujarat, India. The language of any proceedings shall be English.
13. Changes to These Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. For example, a change to how we handle your data would be material, but a minor grammatical correction probably wouldn't be.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
14. Miscellaneous
14.1. Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices published by CitySquad on the Service, constitute the entire agreement between you and CitySquad concerning the Service.
14.2. Severability
If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.
14.3. No Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and CitySquad's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
14.4. Assignment
These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by CitySquad without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.
